SetiQo Terms and Conditions Full Document
These Terms & Conditions ("Terms") govern your access to and use of SetiQo’s software platform, websites, APIs, analytics modules, and associated professional services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms as a legally binding agreement between you (or the entity you represent) and SetiQo.
If you do not agree with any part of these Terms, you must discontinue access and use of the Service immediately.
Welcome
Welcome to SetiQo. Our platform is designed for enterprise teams that require secure, scalable, and operationally reliable SaaS infrastructure. These Terms define the rights, responsibilities, limitations, and obligations applicable to all users, customers, administrators, and authorized personnel accessing SetiQo products.
By creating an account, signing an order form, enabling API access, or otherwise using any functionality of SetiQo, you confirm that:
- You have read and understood these Terms in full.
- You are at least the age of legal majority in your jurisdiction.
- You have the authority to bind any organization on whose behalf you use the Service.
- You will comply with all applicable laws, regulations, and contractual obligations when using SetiQo.
If you are using SetiQo on behalf of a business entity, references to "you" in these Terms refer both to the individual user and the applicable entity.
1. Use of Service
Eligibility and Account Access
You must provide accurate registration information and keep your account credentials confidential. You are responsible for all activity under your account, including activity by users you authorize within your organization.
Operational Responsibility
You are responsible for configuring your account settings, user roles, and security controls in a manner consistent with your internal compliance obligations and risk policies.
You agree to use the Service only for lawful business purposes and in accordance with these Terms. You must not misuse the Service or attempt to interfere with SetiQo’s systems, networks, or security architecture.
Without limitation, the following uses are strictly prohibited:
- Accessing or attempting to access data, systems, or environments not intended for your account.
- Reverse engineering, decompiling, disassembling, or otherwise attempting to derive source code from the Service except where expressly permitted by law.
- Uploading, transmitting, or distributing malware, ransomware, spyware, or harmful executable content.
- Performing denial-of-service attacks, vulnerability exploitation, scanning, scraping, or automated activity that impairs platform availability.
- Using the Service to store or process unlawful, infringing, defamatory, fraudulent, or abusive content.
- Using the Service to violate export controls, sanctions programs, data protection laws, or industry regulations applicable to your organization.
- Circumventing rate limits, usage boundaries, licensing constraints, or technical enforcement mechanisms.
- Misrepresenting identity, authorization, affiliation, or business purpose.
- Interfering with other customers' use of the Service.
- Using the Service to build, benchmark, or support a directly competing product in a manner that violates fair-use or contract obligations.
SetiQo may monitor service usage, performance, and security telemetry to maintain platform integrity and enforce these Terms.
2. Subscriptions & Payments
Certain features of SetiQo require a paid subscription under a selected plan, order form, or enterprise agreement. Fees, billing cycle, service scope, usage limits, and included support levels are defined in your active commercial agreement.
Billing Authorization
By subscribing, you authorize SetiQo (or its payment processor) to charge all applicable recurring and usage-based fees to your selected payment method on the agreed schedule.
Auto-Renewal
Unless otherwise stated in your contract, subscriptions renew automatically for successive billing periods. You may cancel renewal in accordance with notice periods set in your plan terms.
Taxes
All fees are exclusive of applicable taxes, duties, levies, and governmental assessments, which are your responsibility unless stated otherwise by law.
Failed Charges and Delinquency
If payment fails, SetiQo may retry charges, suspend premium features, or restrict account access until outstanding balances are settled.
Additional payment terms:
- Fees are generally non-refundable unless required by applicable law or expressly stated in writing by SetiQo.
- Promotional pricing or credits may be time-limited and subject to eligibility criteria.
- SetiQo may update pricing for future billing periods with reasonable prior notice.
- Downgrades or reductions in usage entitlement may only become effective at the start of the next billing cycle.
- You remain responsible for all charges incurred before termination becomes effective.
3. License
Subject to your compliance with these Terms and payment of applicable fees, SetiQo grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business operations during the active subscription term.
This license does not transfer ownership of the Service or any related intellectual property. Except as expressly permitted, you may not:
Prohibited Licensing Actions
- Copy, modify, or create derivative works of SetiQo software.
- Resell, lease, distribute, or commercially exploit the Service without written consent.
- Grant third parties unauthorized access credentials.
- Use automated extraction methods outside documented API terms.
Technical Integrity Rules
- Disable or bypass security controls, access controls, or encryption safeguards.
- Remove proprietary notices, trademarks, or copyright marks.
- Interfere with logging, audit trails, or forensic telemetry generated by SetiQo.
- Attempt to discover confidential implementation details not publicly documented.
Any use beyond the granted license requires a separate written agreement signed by authorized representatives of both parties.
4. Intellectual Property
SetiQo and its licensors retain all right, title, and interest in and to the Service, including software, architecture, APIs, documentation, models, workflows, interfaces, trademarks, service marks, logos, and all related intellectual property rights.
These Terms do not grant you ownership rights in the Service or any underlying technology. You retain ownership of data, files, prompts, configurations, and content submitted by you or your authorized users ("Customer Data"), subject to rights necessary for SetiQo to provide and secure the Service.
You grant SetiQo a limited right to host, process, transmit, analyze, and display Customer Data solely as required to operate, maintain, and improve the Service, perform support activities, and comply with legal obligations.
- Unauthorized use of SetiQo branding is prohibited.
- You may not register domains, social handles, or marks that are confusingly similar to SetiQo trademarks.
- Any rights not expressly granted in these Terms are reserved by SetiQo.
5. Termination
Either party may terminate the Service relationship according to the cancellation and notice terms stated in the applicable subscription plan or enterprise agreement.
Termination for Breach
SetiQo may suspend or terminate access immediately if you materially breach these Terms, violate applicable law, or create security or compliance risk.
Suspension Rights
SetiQo may temporarily suspend features to prevent abuse, contain incidents, investigate suspicious activity, or maintain system reliability.
Effect of Termination
Upon termination, your access rights end and you must cease using the Service. SetiQo may delete or anonymize Customer Data after a reasonable retention period, subject to legal and contractual requirements.
Provisions that by their nature should survive termination (including ownership rights, payment obligations, warranty disclaimers, liability limitations, and governing law clauses) will remain in effect.
6. Limitation of Liability
Service Provided "As Is"
To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis. SetiQo disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Exclusion of Indirect Damages
SetiQo will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, loss of data, business interruption, or procurement of substitute services.
Aggregate Liability Cap
To the extent permitted by law, SetiQo’s total aggregate liability arising out of or related to these Terms will not exceed the amounts paid by you to SetiQo for the Service during the twelve (12) months immediately preceding the event giving rise to liability.
Some jurisdictions do not allow limitation of certain damages; in such cases, the above limitations apply only to the maximum extent legally enforceable.
7. Governing Law
These Terms and any dispute, claim, or controversy arising out of or related to the Service will be governed by and construed in accordance with the applicable laws identified in your executed commercial agreement with SetiQo, without regard to conflict-of-law principles.
Unless otherwise agreed in writing, the parties consent to exclusive jurisdiction and venue in competent courts designated by that governing law framework.
You agree that any claim relating to the Service must be brought within the legally permitted limitation period after the cause of action arises.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
SetiQo may update these Terms from time to time to reflect legal, security, operational, or product changes. Material updates will be communicated through appropriate channels, and continued use of the Service after updates become effective constitutes acceptance of the revised Terms.
